Terms of Service
§1.1 Who we are, and what we are not
Tector is operated by TNAADO Labs, a Delaware corporation ("Tector", "we", "us"). Tector operates a technology platform that connects individuals seeking protective or transport services ("Clients", "you") with independent, licensed and insured third-party security firms and licensed limousine operators ("Operators").
Tector is a marketplace and technology platform. Tector is not a security agency, security services provider, protective services provider, limousine operator, motor carrier, or employer of any Operator or of any personnel supplied by an Operator.
Tector does not:
- provide protective, security, investigative, or transport services;
- employ, supervise, direct, or control any protector, driver, or other personnel;
- set the price an Operator charges for its services;
- select which of an Operator's personnel is assigned to any engagement;
- guarantee the availability, performance, conduct, or suitability of any Operator or its personnel.
§1.2 The contract for services is between you and the Operator
When you request a service through Tector, matching Operators are notified. If an Operator accepts, you are presented with that Operator's own price and that Operator's own terms of service.
By confirming a booking, you enter into a direct contractual relationship with that Operator, on that Operator's terms. Tector is not a party to that contract. The Operator is solely responsible for the performance of the services, for the conduct of its personnel, for maintaining required licences and insurance, and for all obligations arising under its own terms.
Your booking is not final, and no charge is made, until you have reviewed the Operator's price and terms and confirmed. We record which version of the Operator's terms you accepted.
§1.3 What Tector charges for
Tector charges a facilitation fee for the use of the platform. This fee is disclosed as a distinct line item, in the total, before you confirm any booking. It is separately invoiced.
Amounts payable to an Operator are collected on the Operator's behalf and remitted to the Operator. You receive documentation reflecting that remittance. Those amounts are not Tector's revenue.
Payment processing is handled by Stripe. Tector does not receive, store, or have access to your payment card details.
§1.4 Your account and your identity
You register using a pseudonym. You are not required to provide your legal name to open an account, and Tector does not require you to disclose personal information to any Operator.
You are assigned a permanent internal account number. Your display name may be changed at any time; the account number does not change.
If you choose to share personal information with an Operator, you do so at your own election. Tector is not responsible or liable for information you disclose directly to an Operator or its personnel, or for that Operator's handling of it.
Billing information you provide for invoicing purposes — including company details — is held separately from the information made available to Operators.
§1.5 Minimum engagements and pricing
Operators set their own rates. Every service carries a minimum engagement of four hours, and every quote you are shown already includes it.
An Operator may charge for things beyond the engagement itself. Anything of that kind is itemised in the quote and disclosed to you before you confirm.
§1.6 Cancellations
You may cancel a booking subject to the cancellation terms disclosed at booking and to the Operator's own terms. Tector may charge a search fee to recover the cost of facilitating a matching request where a confirmed quote is declined or cancelled repeatedly.
§1.7 Emergencies — important
Tector does not respond to emergencies and does not monitor engagements in progress. The platform is not an emergency service, a monitoring service, or an alarm service.
In an emergency, contact emergency services on 911. For matters arising during an engagement, contact your Operator directly.
§1.8 Bookings for other people
You may request services for another individual. If you do so, you represent that you are authorised to do so, and you remain responsible for payment and for compliance with these terms. You must not use the platform to arrange services for a person against their wishes, or in furtherance of surveillance, harassment, stalking, or intimidation. See the Acceptable Use Policy.
§1.9 Incident records and platform review
If an incident occurs during an engagement, you or the Operator may file a report. If a report naming you is filed:
- you will be notified at the same time the report is received;
- you will be given an opportunity to respond;
- Tector will review the report and any response and issue a conclusion to both parties.
A Tector review determines eligibility to use the platform, and nothing else. It is not a proceeding before any court or tribunal, is not bound by the determinations of any court, and is not a finding of fact, of fault, or of legal liability. Tector's conclusions are made for the sole purpose of deciding platform access.
Tector's review is conducted by human reviewers and is guided, in order, by: (a) applicable legal standards; (b) the preservation and protection of human life, whether of a Client, an Operator's personnel, or a third party; and (c) where (a) and (b) are in tension, the reviewer's reasoned judgement having regard to the right of self-defence and to the circumstances as documented.
Tector's stated priority is the preservation of human life over procedural formality. This is a declared value applied consistently, and reviewers record their reasoning.
Reports, once filed, are retained in accordance with the Privacy Policy, including after account deletion.
§1.10 Operator claims for additional amounts
An Operator may assert that you owe additional amounts, for example for damage to property or for costs arising from your conduct.
Any such claim is a matter between you and that Operator, under that Operator's own terms. Tector will provide relevant documentation to either party on request. Tector does not adjudicate the claim and does not charge your payment method in respect of it.
§1.11 Disclaimers
The platform is provided "as is" and "as available". To the maximum extent permitted by law, Tector disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Tector makes no representation or warranty regarding any Operator, including as to the adequacy of its licensing or insurance, the competence or conduct of its personnel, or the outcome of any engagement. Tector verifies documentation Operators provide but does not independently guarantee its accuracy or currency.
Nothing in these terms excludes liability that cannot lawfully be excluded.
§1.12 Limitation of liability
To the maximum extent permitted by law, Tector's total aggregate liability arising out of or relating to the platform is capped by reference to the facilitation fees you have paid to Tector. That cap is the total facilitation fees you actually paid to Tector in the twelve (12) months immediately preceding the event giving rise to the claim. If you paid no facilitation fees to Tector in that period, Tector's aggregate liability to you under this section is zero, except to the extent a court of competent jurisdiction holds that result unenforceable, in which case the cap is the lowest amount that jurisdiction will enforce.
Tector shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, whether based in contract, tort, or otherwise.
Tector shall not be liable for the acts or omissions of any Operator or any Operator's personnel.
§1.13 Indemnity
You agree to indemnify and hold harmless Tector and its officers, directors, employees and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your use of the platform, (b) your breach of these terms or the Acceptable Use Policy, (c) your conduct during any engagement, or (d) any dispute between you and an Operator.
§1.14 Dispute resolution — arbitration and class action waiver
PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS AND REQUIRES DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION RATHER THAN IN COURT.
(a) Agreement to arbitrate. Any dispute, claim, or controversy arising out of or relating to these terms, the platform, or your use of it shall be resolved by binding individual arbitration, rather than in court, except as provided in (d) below. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at adr.org), including the AAA's Consumer Due Process Protocol. If AAA is unavailable or unwilling to administer the arbitration, the parties will agree on a substitute arbitration provider applying substantially similar consumer-protective procedures, or, absent agreement, a court of competent jurisdiction will appoint one.
(b) Class action waiver. You and Tector each waive any right to participate in a class, collective, consolidated, or representative action. The arbitrator may award relief only in favour of the individual party seeking it and only to the extent necessary to provide relief warranted by that party's individual claim.
(c) Seat, law, and costs. The seat of arbitration is Wilmington, Delaware, and the arbitration will be conducted in the English language. These terms, and any dispute arising out of or relating to them or to the platform, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Tector will pay the AAA filing fee and case-management fee to the extent they exceed the fee for filing a comparable claim in a Delaware court of competent jurisdiction, and will bear the arbitrator's fees, except that the arbitrator may reallocate fees under the AAA rules where your claim is found frivolous or brought for an improper purpose. Each party bears its own attorneys' fees unless the arbitrator awards them under applicable law or these terms.
(d) Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or to prevent unauthorised access to the platform.
(e) Severability. If any part of this section is held unenforceable in a particular jurisdiction, that part shall be severed as to that jurisdiction and the remainder shall continue in full force. If the class action waiver in (b) is held unenforceable as to a particular claim, that claim shall proceed in court and the remaining claims shall remain in arbitration.
(f) Opt-out. You may opt out of this arbitration agreement and the class action waiver in (b) by sending written notice to legal@tector.app within thirty (30) days of the date you first became bound by this section — the date you created your account, or, if later, the date an amended version of these terms containing this arbitration provision took effect for you. Your notice must include your name, your account identifier, and a clear statement that you are opting out of arbitration. Opting out does not affect any other part of these terms and does not affect your ability to use the platform. If you do not opt out within that 30-day window, you will be deemed to have agreed to this section.
§1.15 Termination and suspension
Tector may suspend or terminate your access at its discretion, including following a review under §1.9. Where access is terminated following a review, Tector will issue written notice stating the reason. Termination of platform access does not affect any obligation you owe to an Operator.
§1.16 Changes to these terms
Tector may amend these terms. Material changes are notified in advance. Each version is archived and version-identified; the version in force at the time of a booking governs that booking.
§1.17 Governing law
These terms, and any dispute, claim, or controversy arising out of or relating to these terms, the platform, or your use of it that is not subject to arbitration under §1.14, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to §1.14(d), the state and federal courts located in Wilmington, Delaware have exclusive jurisdiction over any such matter, and you consent to personal jurisdiction and venue there.
